Reference is made to the transactions contemplated by that certain Business Combination Agreement, dated as of August 5, 2025 (the "Business Combination Agreement"), by and among the issuer, Presidio Production Company (f/k/a Presidio PubCo Inc.) ("Presidio"), a Delaware corporation and a direct, wholly-owned subsidiary of the issuer, Prometheus PubCo Merger Sub Inc., a Delaware corporation and a direct, wholly-owned subsidiary of Presidio, Prometheus Holdings LLC, a Delaware limited liability company and a direct, wholly-owned subsidiary of the issuer ("EQV Holdings"), Prometheus Merger Sub LLC, a Delaware limited liability company and a direct, wholly-owned subsidiary of EQV Holdings and Presidio Investment Holdings LLC, a Delaware limited liability company (the "Transactions").; In connection with the consummation of the Transactions (the "Closing"), these Class A ordinary shares of the issuer were automatically surrendered and cancelled and converted into the right to receive shares of Presidio's Class A common stock on a one-for-one basis pursuant to the Business Combination Agreement. Following such transaction, EQV Ventures Sponsor LLC (the "Sponsor") and the other Reporting Persons own zero Class A ordinary shares of the issuer.; Represents Class A ordinary shares held individually by Jerome C. Each of the other Reporting Persons disclaim beneficial ownership of such Class A ordinary shares.; The Sponsor is governed by a board of managers, which is composed of Tyson Taylor, Jerome C.
