The Exchange is exempt pursuant to Rules 16b-3(d) and (e) of the Securities Exchange Act of 1934, as amended. According to the terms of the Exchange Agreement, the value of the Class A and Class C common shares was equal to the closing prices of such shares on March 20, 2026.
