("IPG") and EXT Subsidiary Inc. ("Merger Sub"), Merger Sub merged with and into IPG, with IPG surviving as a wholly owned subsidiary of the Issuer. Pursuant to the Merger Agreement, the Reporting Person's IPG common stock and restricted stock awards converted into the Issuer's common stock, according to the terms of the Merger Agreement.
