The Reporting Person is a Managing Member of Empery AM GP, LLC (the "General Partner"), the general partner of the Investment Manager. The Investment Manager may be deemed to be the beneficial owner of all of the common stock held by the Empery Funds. The Reporting Person, as Managing Member of the General Partner of the Investment Manager with the power to exercise investment discretion, may be deemed to be the beneficial owner of all of the common stock held by the Empery Funds. The Reporting Person is the Issuer's Co-Chief Executive Officer and Chairman of its board of directors. The Reporting Person disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein.
