Each Private Unit consists of one share of Class A common stock, par value $0.0001, and one-half of one redeemable warrant.; The Sponsor is the record holder of the shares reported herein. Kevin McGurn is the sole managing member of the Sponsor and holds voting and investment discretion with respect to the securities held of record by the Sponsor. As such, Mr. McGurn may be deemed to have beneficial ownership of the securities held of record by the Sponsor.
