Acquired as a result of a merger pursuant to the previously announced Agreement and Plan of Merger, dated as of April 28, 2024, by and among UMB Financial Corporation ("UMB"), Blue Sky Merger Sub Inc., and Heartland Financial USA, Inc. ("HTLF"), as it may be amended from time to time (the "Merger Agreement").; Pursuant to the Merger Agreement, each share of HTLF common stock was converted into 0.5500 shares of UMB common stock, with cash payable in lieu of any fractional shares. In addition, pursuant to the Merger Agreement, each restricted stock unit held by the reporting person as of immediately prior to the effective time, fully vested, was cancelled and was converted into a right to receive 0.5500 shares of UMB common stock, $1.00 par value, for each share of HTLF common stock underlying such restricted stock unit, with cash payable in lieu of any fractional shares.
