(the "Issuer"), Mr. You subscribed to purchase an aggregate of 43,910 shares of the Issuer's Class A common stock, par value $0.0001 per share ("Class A Common Stock") at a price of approximately $11.39 per share in a private placement pursuant to a Subscription Agreement dated as of December 23, 2024, by and among Mr. You and the Issuer. Such subscription closed on January 29, 2025.; Represents shares held by RHY 2021 Irrevocable Trust (the "Trust"). Mr. You is the settlor and investment officer of the Trust, and his son is the beneficiary of the Trust. Accordingly, Mr. You may be deemed to have a pecuniary interest in the securities held by the Trust.
