Options granted under the Issuer's 2024 Equity Incentive Plan (the "Plan"), pursuant to the Issuer's Non-Employee Director Compensation Program, as amended, which states that upon the conclusion of each regular annual meeting of the Company's stockholders, each non-employee director who continues to serve as a member of the Company's Board of Directors thereafter will automatically be granted a stock option under the Plan for 19,000 shares of the Company's Class A Common Stock.
