Each Private Unit consists of one Class A ordinary share and one-third of one redeemable warrant. The reported shares are the 365,000 Class A ordinary shares included in such Private Units.; The securities are held directly by the Sponsor and indirectly by Ahmed Fattouh, who controls the sole managing member of the Sponsor, IPAM (M) V LLC. Consequently, Mr. Fattouh may be deemed to share voting and dispositive control over the shares held by the Sponsor, and thus to share beneficial ownership of such securities. Mr. Fattouh disclaims any beneficial ownership of any shares held by the Sponsor except to the extent of his pecuniary interest therein.
