Each private unit consists of one Class A ordinary share, one redeemable warrant and one right to receive one-fourth of one Class A ordinary share, with each whole warrant entitling the holder thereof to purchase one Class A ordinary share for $11.50 per share, subject to adjustment. The 590,625 Class A ordinary shares will be subject to certain restrictions until the consummation of the initial business combination (the "restricted Class A ordinary shares"). The private units and restricted Class A ordinary shares were purchased pursuant to a Private Placement Units and Restricted Share Purchase Agreement, dated June 2, 2026, by and between the Sponsor and the Issuer for an aggregate purchase price of $2,625,000.
