Reflects the 304,000 private units owned by Future Wealth Capital Corp., the Issuer's sponsor ("Sponsor"). Simultaneously with the consummation of the Issuer's initial public offering, the Sponsor acquired, at a price of $10.00 per unit, 304,000 units (the "Private Units") in a private placement for an aggregate purchase price of $3,040,000. Each private placement unit consists of ordinary share and one right to receive one-fifth (1/5) of one ordinary share upon consummation of the Issuer's initial business combination. The reported shares are the 304,000 ordinary shares included in such Private Units.; Represents (i) the 304,000 private units referred to in footnotes 1 and (ii) 4,362,069 ordinary shares held by the Sponsor (up to 113,793 of which are subject to forfeiture if the underwriter's over-allotment option is not exercised in full) acquired pursuant to a securities subscription agreement by and between the Issuer and the Sponsor.; The Sponsor is the record holder of the shares reported herein.
