On August 10, 2026, pursuant to a Membership Interest Purchase Agreement, dated as of April 21, 2026 (as amended from time to time, the Purchase Agreement), by and among the Issuer, Kashiv BioSciences, LLC (Kashiv), KB Seller Representative, LLC and the equity holders of Kashiv named therein (the Sellers), a subsidiary of the Issuer purchased (the Acquisition) from the Sellers 100% of the issued and outstanding membership interests of Kashiv for an aggregate consideration of $375,000,000 in cash, subject to certain purchase price adjustments, and 28,942,098 shares of Issuer Class A common stock (Class A Common Stock). Pursuant to the terms of the Purchase Agreement, limited liability companies managed by the Reporting Person received 6,381,734 shares of Class A Common Stock in the Acquisition.
