Each share of Series A Preferred Stock is convertible into 20 shares of common stock of the Issuer at the option of the holder thereof following the issuance date, which conversion ratio is not subject to adjustment in connection with reverse stock splits.; Issued to the Reporting Person pursuant to the terms of a June 29, 2026 Share Exchange Agreement between the Issuer, Avid Gold Ltd, a private limited company formed under the laws of England and Wales ("Avid Gold"), and the shareholders of Avid Gold, including the Reporting Person.; The Series A Preferred Stock has no expiration date.; The Series A Preferred Stock includes a beneficial ownership limitation that prohibits a holder from converting the Series A Preferred Stock to the extent such conversion would cause the holder, together with its affiliates, to beneficially own more than 4.999% of the Issuer's outstanding common stock, calculated in accordance with Section 13(d) of the Securities Exchange Act of 1934, as amended.
