On August 26, 2026, pursuant to the Reporting Person's employment agreement with the Issuer, effective as of March 20, 2025 (the "Employment Agreement"), the Reporting Person was granted 28,857 Restricted Stock Units ("RSUs") as a quarterly equity award for the second quarter of 2026. Such RSUs will vest in twelve (12) equal monthly installments commencing on August 26, 2026 and ending on August 26, 2027. Pursuant to the terms of the Employment Agreement, the RSUs are subject to a one-year restricted period expiring on August 26, 2027 and will be settled on the date of expiration of the restricted period.
