Each Series A Unit of the Sponsor represents an interest in the shares of Class B common stock of the Issuer held by the Sponsor.; The Series A Units were surrendered for aggregate consideration of $100 (equivalent to $0.002 per underlying share of Class B common stock), representing a return of the capital contribution attributable to the surrendered units.; Reflects 100,000 shares of Class B common stock of the Issuer underlying 100,000 Series A Units of the Sponsor held by the Reporting Person. Shares of Class B common stock automatically convert into shares of Class A common stock of the Issuer at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment.
