Of the 73,090 shares held by the Trust immediately prior to the transactions reported herein, 50,000 shares were acquired by the Trust in July 2022 and were previously reported as directly owned by the Reporting Person, and 23,090 shares were transferred by the Reporting Person to the Trust in August 2025. The August 2025 transfer effected only a change in the form of beneficial ownership without a change in the Reporting Person's pecuniary interest and was exempt pursuant to Rule 16a-13.
