On October 8, 2026, Haymaker Sponsor IV LLC (the "Sponsor") distributed an aggregate of 3,564,267 shares of Class A Common Stock ("Class A Common Stock") and 75,000 private placement warrants ("Private Placement Warrants") of Suncrete, Inc. (the "Issuer"), representing all of the securities of the Issuer owned by the Sponsor, to its members with no consideration being paid in connection therewith (the "Distribution"). Mr. Heyer is a managing member of the Sponsor and may be deemed to have beneficial ownership of the securities held directly by the Sponsor. Mr. Heyer disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein.; Includes (i) 175,852 shares of Class A Common Stock held by Heyer Investment Management, LLC, (ii) 45,266 shares of Class A Common Stock held by the Mindy B.
