("MiniMed") issued shares of its common stock to the Reporting Person in connection with the completion of an exchange offer of up to an aggregate of 252,813,348 newly issued shares of common stock of MiniMed in exchange for outstanding ordinary shares of Medtronic plc ("Medtronic"). The final exchange ratio was 4.5939 shares of MiniMed common stock for each ordinary share of Medtronic accepted in the exchange offer.
