Pursuant to the Purchase Agreement, Issuer agreed to issue and sell to Reporting Person (i) in a registered direct offering 9,593 shares of Common Stock, $0.0001 par value per share ("Common Stock") and (ii) in a concurrent private placement 45,655 shares of Common Stock and 55,248 accompanying common stock purchase warrants to purchase shares of Common Stock (the "Common Warrants").
