The Class B ordinary shares have no expiration date. The Class B ordinary shares will automatically convert into Class A ordinary shares at the time of the Issuer's initial business combination and are subject to certain time and price vesting conditions pursuant to the Sponsor Letter Agreement, effective as of December 3, 2025, by and between the Sponsor and ProCap Financial, Inc.
